Terms of Use

Effective date:

Important notice

  • All Business WR is a privately operated business directory, not a government office, municipality, chamber of commerce, regulator, licensing body, or accreditation service.
  • Some listings and placements are paid advertising. Publication is not an endorsement, certification, inspection, or guarantee.
  • Directory information may change or contain errors. Verify important information directly with the business or appropriate authority.
  • A public listing application is only a request for review. It does not by itself create a paid order or payment obligation.
  • Paid listing services require a separate completed Business Listing Agreement or Listing Order, which controls their price, term, renewal, cancellation, and deliverables.

1. Acceptance and scope

These Terms of Use ("Terms") are an agreement between you and the legal operator of All Business WR ("All Business WR", "we", "us", or "our"). They govern access to and use of allbusinesswr.com, its public directory, search tools, forms, listings, advertisements, and related website features (the "Website").

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website. Our Privacy Policy explains how we handle personal information.

A separate signed or electronically accepted Business Listing Agreement, Listing Order, advertising order, or written amendment governs any paid service you purchase. If that agreement conflicts with these Terms about a paid service, the completed paid-service agreement controls.

2. Nature of the directory

All Business WR helps people discover businesses serving Waterloo Region. Listings may be supplied or approved by business representatives, assembled from public or administrative sources, or created by directory administrators. Listings are informational and non-exclusive; competing businesses may appear in the same category or placement.

We may label paid content "Paid", "Sponsored", "Featured", "Advertisement", or with similar clear wording. Whether paid or unpaid, a listing means only that it was accepted for publication. It is not a recommendation, partnership, government registration, licence, accreditation, certification, due-diligence report, or guarantee of identity, licensing, quality, safety, solvency, legality, or suitability.

3. Authority and eligibility

If you submit information, request a listing, manage an account, or act for a business, you confirm that you are legally capable of doing so and have authority to provide the information and bind the business where applicable. Paid directory services are offered for business or commercial purposes.

We may reasonably ask for information needed to verify identity, business status, address, ownership, signing authority, licensing, insurance, or submitted claims. We may decline an application that is incomplete, cannot be verified, falls outside the directory's scope, or presents a legal, safety, security, or reputational concern.

4. Acceptable use

You may use the Website only for lawful purposes. You must not:

  • submit false, misleading, fraudulent, defamatory, infringing, discriminatory, hateful, threatening, harassing, unlawful, or unsafe material;
  • impersonate another person or business, misrepresent your authority, or describe a listing as an official approval or endorsement;
  • upload malware, use deceptive redirects, probe or bypass security, interfere with service, or access an account or system without authorization;
  • scrape, harvest, copy, frame, resell, or systematically extract Website or directory data without our prior written permission, except for ordinary search-engine indexing that respects our technical instructions;
  • reverse engineer protected Website software, overload the service, manipulate analytics or rankings, or use automated traffic abusively; or
  • use Website content or contact information to send spam, facilitate unlawful activity, or violate another person's privacy or rights.

5. Directory accuracy and reliance

Business details, hours, addresses, services, prices, offers, availability, professional status, licences, insurance, and external links can change without notice. Although we may review or correct content, we do not independently verify every statement or continuously monitor every listed business.

You are responsible for checking information directly with the business and, where relevant, a regulator, licensing body, insurer, professional adviser, or other authoritative source before relying on it. The Website does not provide legal, financial, medical, safety, licensing, or other professional advice.

6. Listing applications and submitted content

Submitting the public listing form does not guarantee publication and does not itself create a contract to purchase paid services. A paid order exists only when the commercial details are completed and accepted through a separate Business Listing Agreement, Listing Order, or equivalent written confirmation.

You keep ownership of names, logos, images, descriptions, claims, contact details, links, and other material you submit or approve ("Submitted Content"). You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, crop, format, display, distribute, and technically adapt Submitted Content as reasonably needed to review, provide, maintain, and promote the listing and directory. A paid listing agreement may contain additional or more specific content permissions.

You confirm that:

  • Submitted Content is accurate, current, and not misleading by its wording or overall impression;
  • you own it or have all permissions, releases, and authority needed for its intended use and publication;
  • objective claims, prices, savings, testimonials, comparisons, and professional, health, financial, or environmental claims have adequate support;
  • it does not violate intellectual-property, privacy, publicity, confidentiality, contractual, advertising, professional, or other rights; and
  • you have authority to provide any personal information and have obtained any notice or consent required for public display.

Do not provide a home address, personal email, personal mobile number, or another person's information for public display unless publication is authorized. Use the listing correction and report form to report inaccurate, outdated, or inappropriate content.

7. Paid listings and advertising

Each paid service is governed by its completed order details, including the client, package, included features, category, term, publication timing, fees, taxes, payment schedule, revisions, renewal choice, cancellation rights, refunds, and signatures or electronic acceptance. These Terms do not add a charge or alter those completed commercial details.

A listing does not renew automatically unless the client expressly authorizes automatic renewal in the applicable agreement or later in writing. No automatic renewal arises from silence, an unchanged profile, continued discussions, or a request to confirm business details.

Only written deliverables are included. Unless a paid agreement expressly promises a measurable result, we do not guarantee any minimum number of views, impressions, searches, clicks, calls, messages, leads, bookings, customers, sales, search-engine positions, revenue, or return on investment. Payment does not create a right to publish prohibited or misleading content.

8. Review, edits, suspension, and removal

We control the Website's design, categories, directory structure, page addresses, search tools, placement, and display order. We may correct spelling, grammar, spacing, image dimensions, and formatting, request proof or a disclaimer, or reject, restrict, label, suspend, edit, or remove content or access that violates these Terms or creates a reasonable legal, regulatory, safety, security, privacy, infringement, fraud, or reputational concern.

Where practical, we will provide notice and a reasonable opportunity to correct a non-urgent issue. We may act immediately where delay could create harm or liability. The specific notice, restoration, term-extension, cancellation, and refund rules for a paid listing are governed by its Business Listing Agreement.

9. Businesses, advertisements, and third-party services

Listed businesses, advertisers, linked websites, booking tools, payment pages, maps, social networks, and other external services are operated independently. Your communications, purchases, appointments, disputes, and other dealings with them are solely between you and that third party. Review their terms and privacy practices before sharing information or completing a transaction.

We are not responsible for a third party's products, services, representations, conduct, content, security, accessibility, availability, outage, search ranking, restriction, or transaction. This does not limit responsibility that applicable law does not permit us to exclude.

10. Website ownership

We and our licensors own the Website, software, databases, directory structure, page layouts, branding, graphics, and original editorial content, excluding Submitted Content and third-party material. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable right to use the public Website for its intended purpose.

You may link to a public listing and truthfully state that a business is listed on All Business WR. You may not use our name, branding, logo, or listing status in a way that suggests a partnership, official status, certification, endorsement, or guaranteed quality without written permission.

11. Privacy and communications

Our Privacy Policy describes our collection, use, disclosure, retention, and protection of personal information, including public listing details, analytics, location, service providers, and privacy requests.

We may send messages reasonably needed to respond to a request or administer an application, account, invoice, payment, listing, security issue, expiry, or authorized renewal. Promotional electronic messages are separate and require consent or another lawful basis. You may withdraw promotional consent using the message's unsubscribe method or by contacting us; doing so does not stop necessary service messages.

12. Availability and disclaimers

The public Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

The Website may be interrupted for maintenance, security, repairs, upgrades, hosting issues, third-party failures, or events beyond our reasonable control. We do not guarantee that the Website will always be available, secure, accurate, complete, compatible, or free of harmful components. Any service levels or remedies purchased by a paid client are governed by its separate agreement.

Nothing in these Terms excludes a warranty, condition, remedy, or liability that applicable law does not allow us to exclude.

13. Limits on liability

To the fullest extent permitted by law, All Business WR, its legal operator, owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, including lost profit, revenue, opportunity, goodwill, anticipated savings, or data, arising from the Website, a listing, an advertisement, an external business, or these Terms, even if advised that the loss was possible.

To the fullest extent permitted by law, our total combined liability arising from or relating to the Website or a service will not exceed the total fees paid or payable to us for the specific service and current service term that gave rise to the claim. A signed paid-service agreement may state a more specific cap that controls that service.

These limits apply regardless of the legal theory asserted. They do not exclude liability that law does not permit us to exclude, or liability for our fraud, wilful misconduct, or gross negligence.

14. Your responsibility for claims

To the extent permitted by law, you will defend, indemnify, and hold harmless All Business WR, its legal operator, owners, officers, employees, contractors, and service providers from third-party claims, regulatory proceedings, damages, penalties, judgments, settlements, and reasonable legal costs arising from your Submitted Content, products, services, business conduct, linked properties, misuse of the Website, breach of these Terms, or violation of law or another person's rights.

This obligation does not apply to the extent a claim was caused by our unauthorized material alteration of Submitted Content, gross negligence, wilful misconduct, or breach of an applicable agreement.

15. Suspension and termination of Website access

You may stop using the Website at any time. We may suspend, limit, or end access to the Website or an account if reasonably necessary to address a breach, non-payment, security risk, fraud, unlawful conduct, harmful content, regulatory concern, or risk to users or the directory. Provisions that by their nature should continue—including ownership, disclaimers, liability limits, indemnity, and dispute terms—survive termination.

Ending Website use does not cancel a paid listing agreement or remove payment obligations; cancellation and termination of paid services are governed by that agreement.

16. Changes to the Website or these Terms

We may update Website features, design, navigation, categories, technology, or these Terms. We will post revised Terms here and update the effective date. Material changes apply prospectively after reasonable notice where required. Continued use after revised Terms take effect means you accept them.

A change to these Website Terms does not change the price, paid term, renewal authorization, or other completed commercial detail in an existing paid-service agreement. A material amendment to that agreement must be accepted as the agreement requires.

17. Governing law and disputes

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to mandatory jurisdiction and appeal rights, disputes relating to these Terms or the Website will be submitted to the courts in the Regional Municipality of Waterloo, Ontario.

Before starting a claim, you and we will try in good faith for ten Business Days to resolve it. This requirement does not prevent urgent relief, compliance with a legal deadline, action involving intellectual property or security, or collection of an undisputed overdue amount. A "Business Day" is a day other than Saturday, Sunday, or an Ontario statutory holiday.

18. General terms

These Terms and the Privacy Policy are the entire agreement about general public use of the Website. They do not replace a completed paid-service agreement. If a provision is unenforceable, it will be enforced to the greatest lawful extent or severed, and the remaining provisions will continue. A delay in enforcing a right is not a waiver.

You may not assign rights under these Terms without our written consent. We may assign them to a purchaser or successor of the directory or substantially all related assets. The parties are independent; these Terms do not create employment, partnership, franchise, agency, joint venture, fiduciary duties, or authority to bind the other party.

19. Contact

Questions, notices, or concerns about these Terms can be sent through the contact form or by email at [email protected].

Formal notices relating to a paid listing must also follow the notice method in the applicable Business Listing Agreement or Listing Order.
